Terms of Service

1. About these terms

These Terms of Service (“Terms”) govern the professional relationship between AJ Web Studio (operated by Atash Jamalluddin, Montreal, Quebec, Canada, “we,” “us,” or “the Studio”) and any individual or entity (“Client”) engaging web development, AI systems architecture, lead generation, localization pipeline, or workflow automation services.

By requesting a quote, signing a project brief, or making a payment, the Client agrees to these Terms in full.

2. Scope of work

All project scope, deliverables, timelines, and pricing are defined in a written project brief or proposal provided and approved prior to commencement of work. Work outside the agreed scope will be quoted separately and requires written approval before execution.

Unless otherwise agreed in writing, all deliverables are for digital use only. Physical printing, distribution, or production costs are not included.

3. Payment terms

A 50% deposit of the total project fee is required to begin work. The remaining 50% is due upon delivery of the final deliverable, before client access, transfer, or live deployment is granted.

  • Accepted payment methods: Interac e-Transfer, cash (CAD)
  • All prices are in Canadian dollars (CAD) and exclude applicable taxes (GST/QST)
  • Invoices are due within 7 days of issuance unless otherwise agreed in writing
  • Late payments beyond 14 days may result in project suspension

4. Refund and cancellation policy

The deposit is non-refundable once work has commenced, as it compensates for time allocated, planning work performed, and opportunity cost of committed capacity.

  • Cancellation before work begins: full deposit refunded
  • Cancellation after work begins: deposit retained; remaining balance pro-rated to work completed
  • If AJ Web Studio is unable to complete agreed deliverables: a pro-rated refund of amounts paid beyond the work performed will be issued within 14 days

5. Intellectual property

Upon receipt of full and final payment, the Client receives full ownership of all custom deliverables produced specifically for their project, including website source code, written content, and design assets created from scratch for that project.

AJ Web Studio retains the right to display completed work in its portfolio, case studies, and marketing materials unless the Client requests otherwise in writing within 30 days of project completion.

Third-party assets (open-source frameworks, fonts, stock photography, plugins, licensed imagery, AI-generated visuals) remain subject to their respective third-party licenses. It is the Client’s responsibility to ensure compliance with those licenses for their intended commercial use.

6. Revisions

Each project includes a defined number of revision rounds as specified in the project brief. Revisions are defined as reasonable adjustments to the agreed scope — not additions of new features or scope changes.

  • Revision requests must be submitted in writing within 14 days of delivery
  • Additional revisions beyond the agreed rounds are billed at the applicable hourly rate
  • Requests submitted after 14 days may be treated as a new project at standard rates

7. Client responsibilities

The Client is responsible for:

  • Providing timely feedback and approvals at agreed milestones
  • Supplying required content (text, images, branding materials, platform credentials) on schedule
  • Ensuring that content provided does not infringe third-party intellectual property or rights
  • Reviewing and approving all deliverables, including AI-generated content, before publication

Delays caused by the Client do not constitute a breach by AJ Web Studio and do not extend any deadline-based obligations on the Studio’s side.

8. Disclaimer regarding AI-generated content

Some deliverables may incorporate AI-generated imagery, AI-assisted copy suggestions, or AI-powered workflow components. By accepting a deliverable that contains AI-generated content, the Client acknowledges that:

  • AI-generated outputs may not be fully original and may resemble third-party works
  • AJ Web Studio does not warrant the copyright status or commercial clearance of AI-generated content
  • The Client is responsible for independent legal review before using AI-generated content in regulated, sensitive, or high-commercial-value contexts

9. Limitation of liability

AJ Web Studio’s total liability for any claim arising from a project is limited to the total fees paid by the Client for that specific project. The Studio is not liable for:

  • Indirect, incidental, consequential, special, or punitive damages
  • Loss of revenue, data, profit, or business opportunity
  • Third-party service outages, API changes, or platform policy changes after delivery
  • Security vulnerabilities introduced by third-party plugins, frameworks, or hosting providers

Websites and systems are delivered in good faith based on the agreed specification. AJ Web Studio does not warrant uninterrupted operation or compatibility with all future third-party services.

10. Confidentiality

Both parties agree to keep confidential any proprietary business information, pricing, strategy, or client data shared during the project. This obligation survives the termination of the engagement for a period of two (2) years.

Neither party will disclose the other’s confidential information to third parties without prior written consent, except as required by law.

11. Governing law and dispute resolution

These Terms are governed exclusively by the laws of the Province of Quebec and the federal laws of Canada applicable therein, including the Quebec Civil Code and applicable consumer protection legislation.

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the courts of the Province of Quebec, Judicial District of Montreal.

12. Language of contract

These Terms are provided in both English and French as required by Quebec’s Charter of the French Language (Bill 96/101). In the event of a conflict between the two versions, the French version shall prevail for contracts with Quebec consumers, in accordance with the Consumer Protection Act (L.R.Q., c. P-40.1).
